When utilizing our software, you affirm your agreement with the following terms of use:

Purpose

These terms of use (referred to as the “Terms”) aim to define the conditions and regulations applicable to users (referred to as the “User,” “you,” or “your”) when accessing and utilizing our website, situated at https://doczilla.app (the “Site”). These Terms also delineate the terms and conditions applicable to the use of Doczilla software and any other features or tools provided periodically on the Site, including through the License (the “Features”).

Acceptance of Terms – Modifications

Before utilizing any of the Features, it is necessary to agree to these Terms. By accessing the Features or otherwise utilizing them, you explicitly confirm your complete and irrevocable agreement to these Terms. Additionally, you consent that any personal data and electronic communications on our Site or through the Features will be processed in compliance with our data privacy policy.

We retain the right, at our sole discretion, to modify or replace the Terms at any point. The most current version of these Terms will be posted on the Site. Your responsibility entails reviewing and acquainting yourself with any such modifications. By continuing to use all or part of the Features, you will be deemed to have accepted all modifications and revisions of the Terms.

Provisions and Access to Features

Provider

Unless explicitly stated otherwise in these Terms or on the Site, the Site is operated, the License is granted, and the Features are offered by Palm Tree Coding B.V., a company registered under the laws of the Netherlands.

User’s Eligibility

You affirm that you possess the full capability and competence to accept the terms, conditions, obligations, assertions, representations, and warranties outlined in these Terms and to abide by and comply with them. Access to the Features is primarily open to legal entities. Hence, you confirm that you have the necessary authority to contract in the name and on behalf of the legal entity you represent. In instances of a trial membership or the “Free” offer – where subscription is available to natural persons – you assert that you have attained the legal age required in your jurisdiction to access such Features and undertake any obligations stipulated by the Features.

The Features are exclusively reserved for persons who qualify as professionals within the meaning of the preliminary Article of the Consumer Code, i.e. any natural or legal person, public or private, who is acting for purposes within the scope of his or her commercial activity, including when acting in the name or on behalf of another professional. Therefore, you acknowledge that you qualify as a professional within the meaning of the said Article. You acknowledge that, as a professional, you do not benefit from the protections granted to the consumer by the Consumer Code, including a right of withdrawal.

You further declare your legal authorization in your jurisdiction to utilize the Features and interact with them in any manner. Lastly, you confirm your sole responsibility for complying with all applicable laws in your jurisdiction and release Doczilla from any liability in this context.

Features

Users have access to the Features detailed on the Site, in formats and through technical means and functionalities that Doczilla deems most suitable. The primary Features offered by Doczilla include:

- “PDF API”, allowing the Users to create PDF documents from HTML or from the provided URL. - “Screenshot API”, allowing the Users to create images from HTML or from the provided URL. - “Dashboard”, allowing the Users to check their subscription and API usage.

Accessible Features may differ based on the selected subscription outlined and detailed on the Site.

Fees – Pricing

Users are obligated to pay fees for utilizing the Features (including the License) as indicated on the Site. The fees vary according to the selected subscription.

Doczilla does not refund Feature usage fees, whether paid annually or monthly. Non-utilization of the Features post-payment, account deactivation, or the submission of a termination request does not entitle users to a refund for payments made to Doczilla.

Invoices are accessible on the Site. We reserve the right to alter fees or billing terms periodically in compliance with the Terms. Accepted payment methods are those listed on the Site at the time of payment. By adding a payment method to the Site, you agree to be charged for any unpaid, current, or expired subscription periods.

Registration and User Account

Registration

To access the Features, registration with Doczilla through the creation of a user account (“User Account” or “account”) is necessary.

All information requested during registration must be truthful, accurate, and complete. Failing which, if there is reason to believe such information is untrue, inaccurate, or incomplete, we reserve the right to deny access to the Site or any of its functionalities. Users are permitted only one User Account at a time. Features cannot be utilized or an account created on behalf of someone other than yourself. Acting as a broker, agent, or intermediary of any kind is prohibited.

Users are responsible for safeguarding their account password and login information, keeping such information confidential, and refraining from sharing it with others. Any unauthorized use of an account or security breach must be immediately reported to Doczilla.

Doczilla shall not be held liable for any loss or damage arising from the failure to comply with this section. Providing misleading or fraudulent information on an account is strictly prohibited and may result in the termination or suspension of the account.

Identity Verification

To maintain a safe platform and comply with applicable laws, we may need to verify user identities to access the Features.

Duration of Access to the License

Termination by Doczilla

Doczilla reserves the right, without liability, to terminate, suspend, or restrict a user's use of the Features under various circumstances, including but not limited to: (a) failure to pay Feature usage fees; (b) reasonable suspicion of breaching these Terms or any other applicable provisions; (c) legal or regulatory requirements; (d) concerns regarding account security or suspected fraudulent use of Features; (e) actions taken to protect Doczilla’s reputation.

Users are not entitled to any payment, compensation, or damages from Doczilla regarding suspension, limitation, or termination of Feature usage due to a breach of the Terms.

Doczilla’s rights to suspend, limit, or terminate under these Terms do not affect any other rights or remedies available (whether under the Terms or applicable law and regulations).

Termination by User

Users possess the right to terminate Feature subscriptions based on different conditions depending on whether the subscription was made monthly or annually. For monthly subscriptions, termination becomes effective the following month.

Access to the Features and the License remains active until the termination date. As adherence to the Terms is for a fixed period, no refund of Feature usage fees, whether paid annually or monthly, shall be granted. Users cannot cite their own breach of the Terms, including inaccuracies in statements, to request early termination of the Features.

Consequences of Termination

Upon termination, users lose entitlement to use the Features and benefit from the License. Users are required to pay Feature usage fees for the period preceding the termination if such fees have not been paid in full.

Upon termination: (a) All License rights granted under the Terms cease immediately, and users must cease all use of the Doczilla Software. (b) Users must delete all copies of the Doczilla Software from their computers and return any Confidential Information obtained during Feature usage.

Disclaimer of Warranties – Liability

Warranties Disclaimer – Risks

Users acknowledge and agree that their use of the Services is at their sole risk. The Features and access to the Site are provided on an “as is” and “as available” basis, without any warranties, either express or implied. There is no warranty regarding fitness for specific purposes, needs, or changes in business, or any particularities. Users acknowledge and agree that Doczilla has no control or obligation regarding: Which users access or use the Features. The impact of Site content on businesses. User actions following exposure to Site content. Effects of the Site and Features’ content. Doczilla does not guarantee continuous, uninterrupted, timely, or secure access to the Site and Features. Users acknowledge and accept that the Site and Features may: Contain bugs, errors, and defects. Function improperly or experience downtime. Lead to data loss or corruption. Be modified at any time, with or without notice. Doczilla shall not be liable for any loss or damage resulting from failure to comply with user obligations.

Limited Liability

Users assume full responsibility for their use of the Site and Features. Information transmitted during Site and Feature usage may be insecure or acquired by unauthorized parties. Users acknowledge the risk of the Doczilla Software being defective or vulnerable, potentially exposing their information systems to intrusion or corruption. Users are solely responsible for securing systems, programs, and data and for compliance with applicable laws.

Users agree not to: (a) Use the Features for purposes other than their business. (b) Offensively, abusively, or unlawfully use the Doczilla Software and/or Features. (c) Transmit copyrighted material without prior express consent. (d) Use automated programs to access Features. (e) Interfere with Doczilla Software’s functioning. (f) Copy, modify, sell, or reverse engineer the Doczilla Software. (g) Infringe on patents, trademarks, or copyrights held by Doczilla. (h) Introduce viruses, Trojan horses, or other harmful hardware.

Doczilla and its suppliers or licensors shall not be liable for any direct or indirect damages of any kind, including loss of property, profits, goodwill, data, or other tangible damages. This applies regardless of contract, tort, or other basis, even if Doczilla has been informed of potential damages. If Doczilla is found liable, its aggregate liability is limited to the fees charged during the last twelve months prior to the proceedings.

Indemnification

Users agree to indemnify and hold Doczilla, third-party service providers, officers, directors, agents, joint venture entities, employees, and representatives harmless from any claim or demand, including attorney fees and penalties imposed by regulatory authorities, arising from: (a) Breach of these Terms. (b) Use of the Features. (c) Violation of laws or regulations or third-party rights.

License

Doczilla grants users a limited, non-exclusive, non-transferable, non-sublicensable License for the duration of their commitment to the API and Dashboard software (the “Doczilla Software”) and its updates. This License is conditional on regular payment of Feature access fees.

Users acknowledge and agree that the Doczilla Software, including its sequence, structure, organization, and source code, constitutes valuable intellectual property rights owned by Doczilla or its suppliers. The Doczilla Software is licensed, not sold, and no title or ownership of the Doczilla Software or related intellectual property rights are transferred under these Terms.

Nothing in these Terms grants a license under existing or future patents. Users acknowledge that in providing the Features, Doczilla may create other software and intellectual works solely owned by Doczilla.

Confidential Information

“Confidential Information” includes any information disclosed by one party (the “Discloser”) to the other party (the “Recipient”) during Feature access or usage. This information, whether disclosed in writing or orally, is identified as “Confidential” or considered confidential under the circumstances.

Doczilla’s “Confidential Information” includes undisclosed information related to the Doczilla Software.

Recipients must treat Confidential Information provided by Discloser as confidential and refrain from using it without prior written consent. Disclosure to third parties is prohibited without written consent, except to employees or contractors for business purposes, provided they adhere to the confidentiality agreement with Discloser.

The restrictions of this Article do not apply to information independently developed by Recipients or made known without restriction by a third party. However, Recipients must notify and prevent public disclosure as required by Discloser.

Recipient shall return or destroy Confidential Information upon Discloser’s request.

General Provisions

Third-Party Links

Doczilla may provide links to external websites, applications, or resources. Users acknowledge that Doczilla is not responsible for the availability or content of these external sites and does not endorse their content, advertising, products, or materials.

Transfer, Assignment, or Delegation

These Terms, rights, obligations, and the License granted cannot be transferred, assigned, or delegated by users to third parties without written consent. However, Doczilla can transfer, assign, or delegate without restriction. Any attempted transfer or assignment in violation hereof is void.

Entire Agreement

These Terms, as amended and documents referred to herein, constitute the entire agreement between the parties, superseding any prior agreements, promises, assurances, representations, or arrangements, whether written or oral. Users confirm that acceptance of these Terms does not rely on any information not explicitly included herein.

Severability

If any provision in these Terms is invalid or unenforceable, it shall not affect the validity or enforceability of other provisions. The invalid provision shall be interpreted to fulfill the objectives of the initial provision to the maximum extent under applicable laws.

Language

These Terms are in English, and communications, including notices or information transmission, shall be in English or Dutch.

Waiver

Delay or non-enforcement of any provision in these Terms by any party does not waive other rights under these Terms.

Notices and Communications

By using the Features, users agree to receive notices or communications related to Feature usage via email, SMS, telephone, or Site posting. Users can opt-out of marketing materials. Notices to Doczilla should be sent to support@doczilla.app.

Section Titles

Section titles in the Terms are for convenience and have no legal effect.

Governing Law and Submission to Jurisdiction These Terms and rights, obligations, or any execution-connected matters are governed by the laws of the Netherlands. Parties aim for an amicable settlement in disputes. If unresolved, disputes are submitted to the Commercial Court of Zwolle.
